1. INTRODUCTION AND ACCEPTANCE

1.1 Agreement Overview
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Student", "Parent", "Guardian", or "You") and KNOWMAGIN EDUVERSE PRIVATE LIMITED, a company incorporated under the Companies Act, 2013 ("Company", "We", "Us", or "Our"), regarding your use of the EYEAM CLUB platform and related services.
1.2 Acceptance of Terms
By accessing, registering for, or using the EYEAM CLUB platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are under 18 years of age, your parent or legal guardian must review and accept these Terms on your behalf.
1.3 Capacity to Contract
You represent that you have the legal capacity to enter into this agreement. If you are a minor (under 18 years of age), you confirm that your parent or legal guardian has reviewed and agreed to these Terms.

If you are accessing EYEAM CLUB through an educational institution, additional terms may apply as specified in separate institutional licensing agreements.

2. DEFINITIONS

2.1 Key Terms

  • "EYEAM CLUB" means our proprietary online creative skills exploration platform, including all software, content, features, and services provided thereunder.

  • "Platform" refers to the EYEAM CLUB website, mobile applications, and all related digital services and content.

  • "User-Generated Content" or "UGC" means any creative work, project, submission, comment, or other content created or uploaded by users through the Platform.

  • "Challenge First Methodology" means our proprietary educational approach where learners become virtual apprentices, tackling real-world problems through targeted micro-learning sessions.

  • "Personal Information" means any information that can be used to identify an individual, including but not limited to name, email address, phone number, and usage data.

  • "Minor" or "Child"** means any individual under the age of 18 years.

  • "Parental Consent" means verifiable consent obtained from a parent or legal guardian for a minor's use of the Platform.

  • "Educational Institution" means schools, colleges, universities, and other formally recognized educational organizations.

 

3. PLATFORM DESCRIPTION AND SERVICES

3.1 Service Overview
EYEAM CLUB is a supplementary creative exploration program designed to introduce young minds to the expanding world of visual communication and creative industries. The Platform serves as a foundation program for discovering various creative fields and career pathways.

3.2 Educational Methodology
Through our unique "Challenge First" methodology, learners become virtual apprentices, tackling real problems and acquiring knowledge through targeted micro-learning sessions. This hands-on approach ensures practical skill development while exploring creative disciplines.

3.3 Supplementary Nature
EYEAM CLUB is a supplementary creative exploration program designed to complement existing education by providing practical exposure to creative skills not typically covered in depth within traditional academic settings. The program is not intended to replace formal academic curricula or professional certification programs.

3.4 Platform Features

  • Self-paced creative exploration modules

  • Interactive challenges and real-world problem-solving activities

  • Digital portfolio creation and showcase capabilities

  • Progress tracking and engagement analytics

  • Resource library with tutorials and reference materials

  • Multi-device accessibility (desktop, tablet, mobile)

  • Limited offline functionality for connectivity-challenged areas

3.5 Technical Requirements and User Responsibilities

  • Internet connectivity (minimum 1 Mbps recommended)

  • Compatible web browser (Chrome, Firefox, Safari, Edge)

  • Device specifications as listed on our website

  • Updated operating system for optimal performance

IMPORTANT: Users are solely responsible for ensuring they have adequate internet connectivity and bandwidth to access and use the EYEAM CLUB platform before making any purchase. The Company is not responsible for internet connectivity issues, bandwidth limitations, or network problems in the user's area of operation. It is the user's responsibility to verify their technical setup and internet capabilities prior to subscription or purchase.

 

4. USER REGISTRATION AND ACCOUNT MANAGEMENT

4.1 Account Creation
To access EYEAM CLUB services, you must create a user account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Age Verification and Parental Consent
Users under 18 years of age require verifiable parental or guardian consent before creating an account or accessing Platform services. We implement age verification measures in compliance with applicable data protection laws.

4.3 Institutional Access
Users accessing the Platform through educational institutions may use institution-provided referral codes. Such access is subject to both these Terms and any additional institutional policies.

4.4 Account Security
You are responsible for:

  • Maintaining the security of your login credentials

  • Notifying us immediately of any unauthorized account access

  • Ensuring your account information remains current and accurate

  • Not sharing your account with others unless specifically permitted

4.5 Account Termination by User
You may terminate your account at any time by following the account closure procedures outlined in your account settings or by contacting our support team.

 

5. INTELLECTUAL PROPERTY RIGHTS AND USER-GENERATED CONTENT

5.1 Platform Ownership
EYEAM CLUB platform, including all software, content, trademarks, logos, and proprietary materials, is owned exclusively by KNOWMAGIN EDUVERSE PRIVATE LIMITED. All rights not expressly granted herein are reserved.

5.2 User License to Platform
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, educational, and non-commercial purposes in accordance with these Terms.

5.3 User-Generated Content Ownership
You retain copyright ownership of all original creative works you create using the Platform.
This includes but is not limited to:

  • Digital art, photography, and visual creations

  • Written content, stories, and creative writing

  • Music compositions and audio content

  • Video productions and animations

  • Any other original creative expressions

5.4 Platform Rights to User Content
By uploading or creating content on the Platform, you grant KNOWMAGIN a non-exclusive, worldwide, royalty-free license to:

  • Display your content within the Platform environment

  • Use anonymized content for platform improvement and analytics

  • Showcase exemplary work in marketing materials (with your explicit consent)

  • Create derivative works for educational and demonstration purposes (with attribution)

5.5 Content Moderation Rights
We reserve the right to review, moderate, or remove any User-Generated Content that:

  • Violates these Terms or community guidelines

  • Contains inappropriate, offensive, or harmful material

  • Infringes upon third-party intellectual property rights

  • Poses security or safety risks to other users

5.6 Copyright Compliance
Users must respect intellectual property rights of others. We respond to valid copyright infringement notices in accordance with applicable laws and may terminate accounts of repeat infringers.

5.7 Portfolio and Content Export
You have the right to export your creative work and portfolio content from the Platform. Upon account termination, you may request content export within 90 days, after which all user content will be automatically and permanently removed from our servers and will be lost forever.

 

6. PRIVACY POLICY AND DATA PROTECTION

6.1 Data Protection Compliance
We are committed to protecting your privacy and personal information in accordance with:

  • Digital Personal Data Protection Act, 2023 (India)

  • Information Technology Act, 2000 and amendments

  • Children's Online Privacy Protection Act (COPPA) for US users under 13

  • General Data Protection Regulation (GDPR) for EU users

  • Other applicable regional data protection laws

6.2 Information We Collect

Users must use the Platform responsibly and in accordance with these guidelines:

Permitted Activities:

  • Creating original artistic and creative content

  • Participating in educational challenges and activities

  • Collaborating respectfully with other users

  • Seeking help and guidance from educational resources

  • Sharing constructive feedback and encouragement

Prohibited Activities:

  • Uploading inappropriate, offensive, or harmful content

  • Harassing, bullying, or threatening other users

  • Infringing upon intellectual property rights of others

  • Attempting to hack, disrupt, or damage the Platform

  • Sharing personal contact information publicly

  • Engaging in commercial activities without authorization

8.2 Content Standards
All User-Generated Content must:

  • Be appropriate for educational environments

  • Respect cultural diversity and inclusivity

  • Avoid violence, hate speech, or discriminatory content

  • Comply with age-appropriate content guidelines

  • Respect intellectual property rights

8.3 Reporting and Safety Measures
Users can report inappropriate content or behavior through:

  • Platform reporting tools and mechanisms

  • Direct contact with our support team

  • Emergency contact procedures for serious safety concerns

8.4 Consequences of Policy Violations
Violations may result in:

  • Content removal or restriction

  • Temporary suspension of account privileges

  • Permanent account termination

  • Reporting to educational institutions or parents (for minors)

  • Legal action in severe cases

 

9. EDUCATIONAL DISCLAIMER AND LIMITATIONS

9.1 Supplementary Educational Program
EYEAM CLUB functions as an introduction to creative possibilities and career pathways, not as a replacement for specialized education or professional certification in any specific creative field.

9.2 Non-Accredited Program
Our program is not accredited by any educational board or professional certification body. Certificates and acknowledgments provided represent participation and engagement rather than professional qualification or accreditation.

9.3 Career Guidance Disclaimer
While we provide exposure to various creative career pathways, we strongly encourage students pursuing professional careers in any creative discipline to seek further specialized education through established academic institutions.

9.4 Educational Outcomes
The Platform provides:

  • Foundation-level exposure to creative disciplines

  • Practical skill development opportunities

  • Creative exploration and discovery experiences

  • Basic understanding of creative industry pathways

9.5 Limitation of Educational Claims
We do not guarantee:

  • Professional competency in any creative field

  • Academic credit or formal recognition

  • Employment opportunities or career placement

  • Specific learning outcomes or skill mastery

9.6 Complementary Nature
Our "Challenge First" approach creates experiential learning opportunities that help students develop practical skills while exploring various creative disciplines, designed to complement rather than replace formal education.

 

10. PAYMENT TERMS AND BILLING

10.1 Subscription and Licensing Fees
Access to EYEAM CLUB requires payment of applicable subscription fees or institutional licensing fees as specified during registration or in separate licensing agreements.

10.2 Payment Methods
We accept the following payment methods:

  • Credit and debit cards (Visa, MasterCard, RuPay)

  • Digital wallets and UPI (for Indian users)

  • Bank transfers and demand drafts

  • Institutional purchase orders (for bulk licenses)

10.3 Billing Cycles and Renewals

  • Subscriptions are billed in advance for the selected term

  • Automatic renewal applies unless cancelled before renewal date

  • Price changes require 30 days advance notice

  • Pro-rated billing applies for mid-cycle plan changes

10.4 Non-Refundable Payment Policy
All fees are non-refundable except in cases of serious technical platform issues as detailed in Section 11. By making payment, users acknowledge and accept this non-refundable policy.

10.5 Taxes and Additional Charges
All fees are exclusive of applicable taxes, including but not limited to:

  • Goods and Services Tax (GST) in India

  • Value Added Tax (VAT) in applicable jurisdictions

  • Other local taxes as required by law

10.6 Late Payment and Collection

  • Late payment charges may apply to overdue accounts

  • Service suspension may occur for non-payment

  • Collection costs may be charged to the account holder

  • Credit reporting may be affected by payment defaults

10.7 Institutional Billing
Educational institutions may be subject to separate billing terms as specified in institutional licensing agreements, including:

  • Volume discounts and special pricing

  • Extended payment terms and invoicing

  • Purchase order and procurement processes

  • Same non-refundable policy applies unless specifically modified in writing

 

11. CANCELLATION AND NON-REFUND POLICY

11.1 User-Initiated Cancellation
Users may cancel their subscription at any time through:

  • Account settings and subscription management

  • Direct contact with customer support

  • Written notice to our registered address

11.2 Cancellation Effective Date

  • Cancellations take effect at the end of the current billing period

  • Access continues until the subscription expires

  • No refunds will be provided for cancelled subscriptions

11.3 NON-REFUNDABLE POLICY
ALL PAYMENTS ARE NON-REFUNDABLE. This policy is in place because:

  • EYEAM CLUB licenses are offered at heavily subsidized rates

  • Platform data and backend infrastructure costs are subsidized by the Company

  • Digital content and services are immediately accessible upon payment

  • Significant resources are allocated upon account activation

11.4 Limited Exception for Serious Technical Issues
Refunds may be considered ONLY in cases of serious technical problems that:

  • Completely prevent platform access for extended periods

  • Cannot be resolved despite our reasonable efforts

  • Are not caused by user equipment, internet connectivity, or third-party services

Conditions for Technical Issue Refunds:

  • The Company must be given a reasonable time period (minimum 30 days) to identify and correct technical issues

  • Technical problems must be verified and documented by our technical team

  • User must provide reasonable cooperation in troubleshooting efforts

  • Refund consideration is at the sole discretion of the Company

11.5 No Refund Circumstances
No refunds will be provided for:

  • User dissatisfaction with content, teaching methodology, or platform features

  • Failure to use the platform services or achieve desired learning outcomes

  • Changes in personal circumstances, schedules, or educational needs

  • Technical issues related to user equipment, internet connectivity, bandwidth limitations, or compatibility problems

  • Internet service provider issues or connectivity problems in user's area

  • Violation of Terms resulting in account termination

  • Billing errors or payment disputes (correction of billing errors will be addressed separately)

  • Any reason other than serious technical platform issues as defined above

11.6 Institutional Cancellation Policy
Educational institutions are subject to the same non-refundable policy as outlined above, with any exceptions specifically documented in separate institutional licensing agreements.

11.7 Payment Dispute Resolution
Users are strongly encouraged to contact us directly before initiating payment disputes with banks or payment providers. Chargebacks or payment disputes may result in immediate account suspension pending resolution. The Company reserves the right to pursue collection of disputed amounts plus associated fees.

 

12. PLATFORM AVAILABILITY AND TECHNICAL SUPPORT

12.1 Service Availability
We strive to maintain platform availability of 99.5% uptime monthly, excluding:

  • Scheduled maintenance and updates

  • Force majeure events and circumstances beyond our control

  • Third-party service interruptions

  • User connectivity or device issues

12.2 Maintenance and Updates

  • Regular platform updates and feature enhancements

  • Scheduled maintenance during off-peak hours

  • Emergency maintenance as required for security or stability

  • Advance notice for significant maintenance activities

12.3 Technical Support Services
We provide technical support through:

  • Email support (response within 24-48 hours)

  • Knowledge base and self-help resources

  • Video tutorials and user guides

  • Live chat support (during business hours)

12.4 Support Scope
Our support covers:

  • Platform functionality and feature usage

  • Account access and password reset assistance

  • Technical troubleshooting and bug reporting

  • Billing and subscription inquiries

12.5 User Responsibilities
Users are responsible for:

  • Maintaining compatible devices and software

  • Ensuring stable internet connectivity and adequate bandwidth for platform use

  • Verifying internet access and technical capabilities before making any purchase

  • Following platform usage guidelines and best practices

  • Providing accurate information for support requests

The Company is not responsible for internet connectivity issues, bandwidth limitations, service provider outages, or network problems in the user's geographical area or location.

12.6 Escalation Procedures
For urgent issues or unresolved problems:

  • Contact our priority support channels

  • Escalate through institutional contacts (for institutional users)

  • Formal complaint procedures as outlined in our grievance policy

 

13. LIMITATION OF LIABILITY AND DISCLAIMERS

13.1 Service Disclaimer
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.2 Educational Outcomes Disclaimer
We do not guarantee specific learning outcomes, skill development, or educational achievements. Individual results may vary based on user engagement, aptitude, and external factors beyond our control.

13.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNOWMAGIN EDUVERSE PRIVATE LIMITED SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages

  • Loss of profits, data, or business opportunities

  • Damages arising from platform downtime or technical issues

  • Third-party actions or content

  • Total liability exceeding the fees paid by the user in the 12 months preceding the claim

13.4 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including:

  • Natural disasters and acts of God

  • Government actions and regulatory changes

  • Internet infrastructure failures

  • Pandemic-related disruptions

  • War, terrorism, or civil unrest

13.5 Indemnification
Users agree to indemnify and hold harmless KNOWMAGIN EDUVERSE PRIVATE LIMITED from claims arising from:

  • User violation of these Terms

  • User-generated content and intellectual property infringement

  • Misuse of the Platform or services

  • Violation of applicable laws or regulations

13.6 Regional Liability Limitations
Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

 

14. TERMINATION AND ACCOUNT SUSPENSION

14.1 Termination by User
Users may terminate their account at any time by:

  • Following account closure procedures in platform settings

  • Contacting customer support with termination request

  • Providing written notice to our registered address

14.2 Termination by Company
We may terminate or suspend accounts for:

  • Material violation of these Terms

  • Inappropriate or harmful conduct toward other users

  • Non-payment of fees or subscription charges

  • Suspected fraudulent or illegal activities

  • Extended periods of account inactivity

14.3 Notice and Cure Period
Where possible, we provide:

  • 30 days written notice for non-payment issues

  • 7 days notice for terms violations with opportunity to cure

  • Immediate termination for serious safety or legal violations

14.4 Effect of Termination
Upon account termination:

  • Platform access is immediately suspended

  • User-generated content may be retained for 90 days for export purposes only

  • After 90 days, all user content will be automatically and permanently deleted from our servers and cannot be recovered

  • Personal information is handled according to our data retention policy

  • Outstanding payments remain due and payable

14.5 Data Handling After Termination

  • Users may request content export within 90 days of termination

  • After 90 days, all user-generated content is automatically and permanently deleted from our servers

  • Personal information is deleted according to retention schedules

  • Aggregated and anonymized data may be retained for analytics

  • Legal obligations may require longer retention periods for certain data types

  • IMPORTANT: Once the 90-day period expires, user content cannot be recovered and will be lost forever

14.6 Survival of Terms
The following provisions survive account termination:

  • Intellectual property rights and licenses

  • Limitation of liability and indemnification

  • Payment obligations and dispute resolution

  • Data protection and privacy commitments

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles. The courts of Goa, India have exclusive jurisdiction over any disputes arising from these Terms.

15.2 Dispute Resolution Process

Step 1: Direct Resolution (30 days)

  • Good faith negotiations between the parties

  • Direct communication through designated contacts

  • Documentation of issues and proposed resolutions

Step 2: Mediation (60 days)

  • Appointment of neutral mediator by mutual agreement

  • Confidential mediation proceedings

  • Shared costs of mediation process

Step 3: Arbitration

  • Single arbitrator under Arbitration and Conciliation Act, 2015

  • Seat of arbitration: Panaji, Goa, India

  • Language: English

  • Final and binding arbitration award

15.3 Class Action Waiver
Users agree to resolve disputes individually and waive the right to participate in class action lawsuits or collective proceedings.

15.4 Emergency Injunctive Relief
Nothing herein prevents either party from seeking emergency injunctive relief to protect intellectual property rights or prevent irreparable harm.

15.5 International Users
Users located outside India acknowledge that their use of the Platform is subject to Indian law and jurisdiction, regardless of their location.

 

16. CHANGES TO TERMS AND CONDITIONS

16.1 Modification Rights
We reserve the right to modify these Terms at any time to reflect:

  • Changes in applicable laws and regulations

  • Platform feature updates and service improvements

  • Security and safety enhancements

  • Business model or operational changes

16.2 Notice of Changes
Significant changes to these Terms will be communicated through:

  • Email notification to registered users

  • Prominent notice on the Platform

  • Update notifications within user accounts

  • 30 days advance notice for material changes

16.3 Acceptance of Changes
Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms. Users who do not agree to changes may terminate their account.

16.4 Version Control

  • Terms are version-controlled with effective dates

  • Previous versions are archived for reference

  • Change logs are maintained for transparency

 

17. NON-DISCLOSURE AND CONFIDENTIALITY

17.1 Confidential Information
By accepting these Terms, you acknowledge that you may gain access to confidential and proprietary information about EYEAM CLUB platform, including but not limited to:

  • Platform features, functionality, and technical specifications

  • Educational methodologies and content delivery systems

  • Business processes, marketing strategies, and operational procedures

  • User interface designs, software architecture, and technical innovations

  • Financial information, pricing strategies, and business plans

17.2 Non-Disclosure Obligations
You agree to:

  • Keep all confidential information strictly confidential

  • Not disclose any confidential information to third parties without prior written consent

  • Not use confidential information for any purpose other than your authorized use of the Platform

  • Take reasonable measures to protect the confidentiality of all proprietary information

  • Not reverse engineer, decompile, or attempt to discover the source code or trade secrets
     

17.3 Prohibition on Competitive Use
You specifically agree NOT to:

  • Use any confidential information to develop competing products or services

  • Share platform insights or methodologies with competitors

  • Create derivative works based on proprietary EYEAM CLUB content or features

  • Assist any third party in developing similar educational platforms or content
     

17.4 Return of Confidential Materials
Upon termination of your access or upon request, you agree to:

  • Immediately cease using any confidential information

  • Return or destroy all confidential materials in your possession

  • Confirm in writing the destruction of confidential information when requested
     

17.5 Remedies for Breach
You acknowledge that:

  • Breach of confidentiality may cause irreparable harm to KNOWMAGIN

  • Monetary damages may be inadequate remedy for such breach

  • KNOWMAGIN is entitled to seek injunctive relief and other equitable remedies

  • Legal fees and costs may be recovered in case of confidentiality violations
     

17.6 Duration of Confidentiality
These confidentiality obligations survive termination of your account and continue indefinitely, regardless of how you obtained access to the Platform or confidential information.
 

17.7 Marketing and Research Access
If you have received access through marketing, advertising, research, or evaluation referral codes, you acknowledge that:

  • Your access is for evaluation and feedback purposes only

  • All observations and insights gained are confidential and proprietary to KNOWMAGIN

  • You may not share, publish, or disclose any aspects of your experience without written permission

  • Special confidentiality obligations apply to pre-release features or beta content
